Director Qualification Standards
a.
At least 75% of the members of the Board must qualify as independent directors in accordance
with the applicable provisions of the Securities Exchange Act of 1934 and the rules
promulgated thereunder, the applicable rules of the New York Stock Exchange, and the
Company’s Categorical Standards for Director Independence as such requirements are
interpreted by the Board in its business judgment.
